Merchant Service Level Agreement (SLA)

1. THE PARTIES

2. PREAMBLE & DESCRIPTION OF SERVICE
Wayta provides an interactive, contactless, tableside QR digital menu, self-service ordering, and mobile checkout gateway platform (the "Platform") allowing patrons of restaurants, hospitality venues, events, and trade merchants (each a "Partner") to transact immediately. This SLA governs the operational support, financial payout structure, and liabilities of both parties.
3. MONTHLY SERVICE FEE & SCOPE OF SERVICES
- Monthly Service Fee: The Partner shall pay Wayta a fixed monthly service fee of R 4 000.00 (four thousand Rand), inclusive of VAT where applicable, payable monthly in advance from the date of system activation. Wayta will provide at least thirty (30) days' written notice of any prospective pricing change.

Inclusions: The Monthly Service Fee entitles the Partner to the following, at no additional charge:
•Installation and commissioning of the Wayta SaaS platform at the Partner's venue •Integration with the Partner's existing POS and inventory management system (Schedule B) •Creation of staff user profiles and assignment of user roles and permissions •Linking of the venue's primary banking account to the Platform (Schedule A) •Enablement of the Same-Day Tip Service for waiters and bartenders (Clause 7) •Customer data analytics, segmentation and trading insights (Clause 8) •In-app advertising placements for the venue's events and general offerings •Full customisation and ongoing maintenance of the Partner's digital menus •Importing and onboarding of the Partner's existing inventory and product catalogue •24-hour technical and operational support for the duration of this Agreement
- Non-Payment: Should the Monthly Service Fee remain unpaid for seven (7) days after its due date, Wayta reserves the right to set off the outstanding amount against funds held on the Partner's behalf in terms of Clause 6, having first given the Partner written notice.
4. TRANSACTION SERVICE FEE & PARTNER ELECTION
A transaction service fee is levied on every purchase concluded on the Platform. This fee covers all banking and payment gateway transactional costs and charges incurred by the Partner in respect of Platform transactions, and is charged at a rate starting at R 5.00 per R 100.00 transacted. The Partner elects one of the following recovery structures by marking the applicable box below:
Elected structure: [Awaiting Election]. The elected structure may be changed once per calendar month on seven (7) days' written notice to Wayta. Where no election is marked, Option B shall apply by default.
5. REIMBURSEMENT POLICY & ORDER LIABILITY
To maintain consumer confidence and ensure seamless support for patrons navigating the digital platform:
During the first thirty (30) calendar days from system activation ("Onboarding Period"), Wayta will settle disputed orders directly with the customer regardless of cause, in order to guarantee an excellent service baseline while venue staff acclimatise to the Platform.
6. SECURE TRANSACTION PAYMENTS & PAYOUT SCHEDULE
- Payment Aggregation: All customer payments made on the Platform are processed through Wayta's integrated secure gateway managed by Paystack (Pty) Ltd in South Africa, meeting absolute PCI-DSS compliance standards.
- Standard Disbursement: Income from purchases, less the transaction service fee elected in Clause 4 and any amounts lawfully set off, will be transferred to the Partner's nominated South African banking details (Schedule A) 48 hours after the activity day on which the transactions were concluded (a T+2 settlement cycle).
- Accelerated Same-Day Settlement: Once the Partner has been active on the Platform for sixty (60) continuous days, and provided the account is in good standing, the Partner shall be migrated to same-day settlement — funds from an activity day are transferred to the Partner on that same day, in accordance with the applicable banking cut-off times.
- Banking Cut-Off: Transfers are subject to South African interbank clearing windows. Settlements initiated after the daily cut-off, or on a Sunday or public holiday, will reflect on the next business day.
7. SAME-DAY TIP SERVICE & GRATUITY DISBURSEMENT
Wayta enables direct digital gratuity allocation to individual waiters and bartenders. Tips are the property of the receiving staff member and do not form part of the Partner's turnover or settlement balance.
The applicable payout fee is deducted from the gratuity at the point of disbursement and the staff member is shown the net amount before confirming. The Partner warrants that its tip distribution and pooling policy complies with the Basic Conditions of Employment Act and has been disclosed to affected staff.
8. CONSOLIDATION, REPORTING & DATA ANALYTICS
The fees payable under Clauses 3 and 4 additionally cover the consolidation of and reporting on the Partner's inventory movement and daily trading activity. Wayta will make available, through the Partner dashboard, daily sales and settlement reconciliations, stock depletion and menu performance reporting, and anonymised customer analytics covering visit frequency, basket composition and peak trading periods. Reports are exportable and retained for the duration of this Agreement.
9. COMPLIANCE & LEGAL RESPONSIBILITIES
- Consumer Protection Act (CPA): Partners warrant that catalog listing descriptions, image previews, and prices uploaded to the Platform are accurate, updated, and represent actual operational availability. Where Option A in Clause 4 is elected, the Partner warrants that the R 5.00 uplift is reflected in the displayed Platform price so that the customer is never charged an undisclosed amount.
- POPIA Compliance: Both parties agree to protect the privacy of any personal data processed through the platform (names, contact numbers, order histories) and will not share or repurpose this data without explicit consumer consent. Analytics delivered under Clause 8 are provided in aggregated or de-identified form unless the customer has expressly consented otherwise.
10. TERM, REVIEW & CANCELLATION
- Initial Term: This Agreement commences on the date of system activation and endures for a fixed period of sixty (60) calendar days (approximately two months).
- End-of-Term Review: The parties shall jointly review this Agreement at the end of the 60-day period, assessing transaction volumes, service levels, the elected fee structure and the Monthly Service Fee. On successful review the Agreement continues on a month-to-month basis on the same terms, save for any changes agreed in writing.
- Cancellation: Either party may cancel this Agreement by giving seven (7) days written notice. Wayta will settle all remaining, completed payouts due to the Partner within standard clearing timeframes, and the Monthly Service Fee will be pro-rated to the effective date of cancellation.
